Accounting for inventory purchase commitments (inventory purchase contract with agreement to buy inventories in advance such as weeks, months, or years), purchaser (buyer) enters into a formal noncancelable purchase contract, contract is "executory" in nature, at the contract date neither party has fullfilled its part of the contract, buyer recognizes no asset or liability at the date of the contract, however the contract details should be discloused in the financial statements, the example detailes the recording and calculations required for the different case senarios (1) where market price greater than contracted price, the excess market price over contract price is a gain contingency and cannot be recognized until realized (disclose as a footnote in Financial Statements), (2) market price less than contracted price, If the buyer expects losses will occur when the purchase is effected, buyer should recognize losses in the period during which such declines in market prices take place (current liability on purchase commitments and unrealized gain or loss on purchase commitments, loss in utility if it has occurred during the period in which the market decline took place), (3) when shipped (delivery) of goods record inventory at cost, accounts payable at contractual amount and reduce the estimated liability on the purchase commitment to balance inventory and payables, and (4) partial recovery of contractual amount based on goods delivered, detailed accounting and calculations by Allen Mursau

The hirer is just a Bailee of the goods with right to use the goods.  Law : Hire purchase agreements are governed by the Hire Purchase Act, 1972.  Parties : There are two parties in a hire purchase agreement, the ‘Hirer’ and ‘Hire Vendor’.  Payment : The hirer has to pay hire purchase instalments, at intervals, as specified in the hire purchase agreement.  Rights of Parties o Rights of Hirer : After full payment of agreed instalments, the Hirer gets an option to buy the goods and become the owner of the goods. o Rights of Hire Vendor : The Rights of Hire Vendor (seller) is limited to the repossession of goods.  Ownership : The hirer becomes the owner of such goods after payment of last instalment.

The parties in a contract of sale are buyer and seller. The parties in a hire purchase agreement are hirer and hire vendor. A contract of sale can be made orally, implied from the conduct of parties or in writing. A hire purchase agreement can be made only in writing. In sale, the ownership of goods is transferred to the buyer immediately on Sale. In Hire Purchase, the ownership is transferred to the hirer on full payment of all installments. The goods are at the risk of the buyer after Sale. In Hire Purchase, risk of goods does not pass to hirer, until he becomes owner of goods. In Sale, Buyer does not get rights to return the goods after sale In Hire Purchase, the hirer may, at any stage, terminate the contract and return the goods to the hire vendor. In Sale, installment payment is regarded as part payment of price. In Hire Purchase, the installments paid by the hirer are regarded as hire charges for use of goods. Sales tax is payable as soon as ‘sale’ is made. In Hire Purchase, Sales tax is payable on exercising the option to purchase the goods after paying all the instalments by the hirer. In Sale, Buyer can immediately resell the goods. In Hire Purchase, Hirer cannot resell until the last instalment is paid. In sale, on insolvency of buyer, the seller gets ratable dividend only on the amount due. In Hire Purchase, on insolvency of the hirer, the hire vendor can take re-possession of goods. Sale is subject to the implied condition and warranties. Hire Purchase agreements are not subject to such condition and warranties.

Tender of delivery is the obligation of a seller to transfer and deliver goods to the buyer or lessee in accordance with a sales or lease contract. The UCC stipulates place of delivery based on the following rules: noncarrier cases and carrier cases which include shipment contract and destination contract. A shipment contract is a sales contract that requires the seller to send the goods to the buyer but not to a specifically named destination. A destination contract is a sales contract that requires the seller to deliver the goods to the buyer's place of business or another specific destination. The perfect tender rule says that if the goods or tender of a delivery fail in any respect to conform to the contract, the buyer may opt to: reject the entire shipment, accept the whole shipment, and reject part and accept part of the shipment. Installment contracts requires or authorizes goods to be delivered and accepted in separate lots. The entire contract can be rejected only if the default substantially impairs value of the entire shipment. Destruction of goods occurs if goods identified in a sales or lease contract are totally destroyed without fault of either party before the risk of loss passes to either party, the contract is void. Acceptance occurs in each of the following cases: the buyer indicates acceptance by words, the buyer fails to reject goods within reasonable time, or the buyer acts inconsistently with seller's ownership rights. Payment is due from buyer when and where goods are delivered, and it can be paid in any manner acceptable in ordinary course of business; if cash required, buyer must be given an extension to secure cash. The buyer can revoke acceptance if goods are nonconforming, nonconformity substantially impairs value of goods, seller's promise to timely cure are not met, or goods were accepted before nonconformity discovered and the nonconformity was difficult to discover. Seller and lessor remedies includes the right to withhold delivery, right to stop delivery of goods in transit, right to reclaim goods, right to dispose of goods, right to recover the purchase price or rent, right to recover damages for breach of contract, and right to cancel a contract. Deciding on which purchase and sale agreement form to use can be confusing for real estate investors. Selecting the correct form is easy with guidance from an expert real estate investor. Should investors use the long or short form agreement? An educated and well informed property investor can save a tremendous amount of time and money... Hello, this is Marko Rubel with Unlimited Funding Program, the authority in real estate investing. Today I've prepared a short tutorial explaining when to use the long form agreement and short form sale and purchase agreement. Here are some real estate investment strategies you can use when establishing your business. Question -- ''Janet is asking on the purchase and sell agreement, the short form or the long form: which one they should use?" Answer -- ''We have a purchase and sales agreement that's a short form, one page legal size, and a long form. When you're buying a house that's subject 2, you want to use the short form because it doesn't matter how long it is if you don't get it signed. Use a short form. It's less threatening and you'll get it signed. Obviously make sure you have it on a two-piece NCR and all that as we teach you. Long form, if you're planning on flipping the house, wholesaling the house, or assigning the house, then obviously you want to have more terms in that. You want to use the long form. The long form protects you more. It protects your buyer that you're going to be actually assigning the house too. If you're doing a house where you're putting a lot of cash in the house or you're going to be assigning the house to someone, in that case, yeah it's okay if you use the long form. The difference is -- go ahead Mike. One of the options is a short-sale and is upside down. If the house is a short sale and it's upside down then pretty much you can use any contract. They don't have a choicer they're going to sign anything. It depends on who is doing the negotiation. My negotiators in the office, we basically use the real estate realtor's agreement, the standard department of real estate agent's sales and purchase agreement. Whatever they use, we use that. Then when we submit the package to the bank, it doesn't look unusual. It looks everything like it is. Plus, as I said, my negotiators are licensed agents. I had a lot of them, now I don't. That's how you do it. Yeah. Wayne is saying, "I've already watched module 13 four times. It's so great. Repetition equals permanent learning. Thank you so much. Wayne, this is a good point because when you watch things, they say, "Repetition is the mother in study." There's a lot in that saying that's been around for thousands of years because it's true. If you repeat those modules and you study them, you will learn. Guys, study is important. Learn all that you can about your business, including when to use which sale agreement. You know what? Studying without going out without implementing and practicing again doesn't get you far. Question Information: On 01.01.2010 Chetali purchased from Deepali three machines costing Rs.2,00,000 each payable Rs.50,000 down and three annual installments of Rs.60,000 for each machine at the end of each year. Seller & Buyer There must be a buyer and a seller in a contract of sale who must be competent to enter into contract to effect a contract of sale [s. 2(13)]. One person Sale : A person cannot trade with himself. Buyer & Seller must be separate person However, in the following cases, the same person can be a seller as well as a buyer,  Sale by Pawnee: When the pawnee (to whom the goods are pledged) sells the goods pledged with him to the pawnor (who pledges the goods) on non-payment of his money.  Sale by Part owner : A part owner can also sell his share to the part owner to make the other part owner as the sole owner of the goods.  Trade by Partner : A partner can buy from or sell to a firm in which he is a partner. Transfer of Property In contract of sale, transfer of property in goods must move from one person to another. Transfer of ownership : A mere transfer of possession without transfer of ownership does not constitute a sale. Price or Money consideration “Price” means the money consideration for a sale of goods [s. 2(10)]. Mutual Consent Contract of sale must be accompanied with mutual consent of the contracting parties.

The video is about a mother and a daughter who wants to buy a set of sofas. They bought it at the Courts Mamot. After looked at all the furniture, the mother decided to purchased a set of sofas at RM1000. They made an agreement, between the mother and the seller,before the mother paid a deposit. Before signed the agreement she had been inform by the seller in details about the monthly payment that she have to pay every month. A few days later, the sofa arrived. After a few month, something happened to them. The mother had to face major amount of debt due to the financial problem. One of the debt that she has to face is happened to be the Courts Mamot. She recall about what the seller has told her about the contract. It stated that if the buyer did not made the payment, within 6 month, the seller has to withdrawn the furniture. In the end, the Mother and her daughter sadly gave up upon their set of sofas as every terms and conditions are clearly stated in the contract.
